Title

Resolution to Renew a Contract with Passport Labs, Inc. (“Passport”), Formerly Known as Complus Data Innovations, Inc., for Parking Enforcement Hardware, Software and Services for FY22, FY23 and Subsequent Fiscal Years ($350,000).

Memorandum

The attached resolution requests approval to renew the existing contract with Passport Labs, Inc. (“Passport”), formerly known as Complus Data Innovations, Inc. for parking enforcement related hardware, software and parking ticket processing services.

 

Budget/Fiscal ImpactThis will be budgeted in the FY22 General Fund Police Department budget and shall be budgeted in subsequent years.

 

The City and Passport agree to a contract addendum, the first since the 2013 contract when Passport was selected through a competitive bid purchasing process.  Following the initial extension of three (3) additional years ending on November 14, 2021, the Parties agree to extend the Agreement for an additional two (2) year term, effective through November 14, 2023. Thereafter, the Agreement shall automatically renew for successive, one (1) year periods unless either Party provides written notice of intent not to renew at least three hundred sixty-five (365) days prior to each renewal date. 

 

All other terms and conditions of the contract, including pricing, remain as-is without change in the original 2013 contract.

 

The current contract expires on November 30th, 2021.  This extension allows the City time to work on evaluating upgrades to the existing platform and assess functionality for the City's needs.  After a more thorough needs assessment by City staff of parking enforcement technology and related services, the City may issue a full RFP process if deemed necessary.  It's possible due to the complexity mentioned above that multiple RFPs may be needed to cover the same services provided by Passport.

 

Passport complies with the requirements of the City’s non-discrimination and living wage ordinances.

Whereas, The City of Ann Arbor requires that efficient and interoperable technology be maintained for public safety and government agencies, allowing for the effective delivery of City Parking Enforcement services;

 

Whereas; Passport, Inc is an existing City qualified vendor with a current contract;

 

Whereas, Passport, Inc complies with the requirements of the City’s non-discrimination and living wage ordinances; and

 

Whereas, This purchase shall be budgeted in the FY22 General Fund Police Department and shall be budgeted in future years;

 

RESOLVED, That City Council finds that the Passport, Inc contract renewal is cost-effective and in the City’s best interest;

 

RESOLVED, That City Council approve the contract addendum with Passport, Inc in the amount not to exceed $350,000 for Parking Enforcement hardware, software and services, subject to the attached 2013 Contract and 2021 Contract Addendum; and

 

RESOLVED, That the City Administrator be authorized to take all necessary administrative actions to implement this resolution including execution of any amendments that do not exceed the amounts authorized herein.
