Resolution to Approve Amendment No. 1 to the Professional Services Agreement with GEI Consultants of Michigan, P.C. for the Hydroelectric Dams FERC Part 12 Inspection and Report - RFP #17-31 ($47,850.00)

This memorandum and resolution requests approval of Amendment No. 1 to the Professional Services Agreement (PSA) with GEI Consultants of Michigan, P.C. (GEI) for $47,850.00.
The Barton and Superior Dams are the two hydroelectric generating dams operated by the City and regulated by the Federal Energy Regulatory Commission (FERC). FERC requires the City to utilize a FERC-approved Independent Dam Consultant to complete a Barton and Superior Dam Part 12 inspection and report every five years in accordance with FERC (18 CFR Part 12, Subpart D) requirements.
On February 5, 2018, Council approved a professional services agreement with GEI to provide professional engineering services for $118,500.00 as part of Resolution No. R-18-035. The scope of the project included performing the FERC Part 12 inspection and report; and the development of cost estimates for several dam removal and hydroelectric generator decommissioning scenarios.
Several recommendations resulted from the GEI inspection and report which require submission to FERC for compliance. The scope of this Amendment No. 1 includes revising four (4) technical documents used by the City to inspect and monitor the dam in compliance with FERC requirements. More specifically, the four (4) technical documents define safety inspection procedures and reporting requirements necessary to maintain FERC compliance.
GEI is uniquely positioned to perform this work having completed the 2018 Part 12 inspection and report. Amendment No. 1 to the PSA is required to fund the additional efforts as recommended by the report.
GEI complies with the Living Wage and Non-Discrimination ordinance.
Budget/Fiscal Impact: This project is to be funded from the approved FY20 General Fund Operating and Maintenance Budget. This resolution will bring the total value of engineering services with GEI to $166,350.00.

Whereas, GEI was awarded the Hydroelectric Dams FERC Part 12 Inspection and Report in 2018 as part of Resolution No. R-18-035;
Whereas, GEI’s completed report resulted in several recommendations that are necessary to maintain compliance with FERC 18 CFR Part 12, Subpart D requirements and require submission to FERC;
Whereas, The scope of this Amendment is to revise four (4) technical documents used by the City to inspect and monitor the dam in compliance with FERC requirements;
Whereas, This project represents a continuation of the FERC Part 12 Inspection and Report previously complete by GEI;
Whereas, Funding in the amount of $47,850.00 is available in the approved FY20 General Fund Operating and Maintenance Budget to complete the proposed scope of work; and
Whereas, GEI complies with the City’s Conflict of Interest, Living Wage and Non-Discrimination Ordinances;
RESOLVED, That the Amendment No. 1 in the amount of $47,850.00 to the Professional Services Agreement with GEI is approved;
RESOLVED, That a contingency in the amount of $4,800.00 be approved to finance change orders to the Amendment with GEI to be approved by the City Administrator;
RESOLVED, That the Mayor and City Clerk are authorized and directed to execute Amendment No. 1 to the Professional Services Agreement after approval as to substance by the City Administrator and approval as to form by the City Attorney;
RESOLVED, That the City Administrator be authorized to take the necessary administrative actions to implement this resolution including execution of any authorized changes or amendments that do not exceed the contingency amount; and
RESOLVED, That the engineering services be funded from the approved FY20 General Fund Operating and Maintenance Budget.
