Resolution to Approve Second Amended Articles of Incorporation of the Washtenaw Regional Resource Management Authority (WRRMA)
Memorandum
This memorandum and resolution request approval of the Second Amended Articles of Incorporation for the Washtenaw Regional Resource Management Authority (WRRMA). WRRMA is a multi-jurisdictional authority, incorporated under Act 179 of the Michigan Public Acts of 1947, dedicated to coordinating materials management, recycling, and waste reduction activities among its constituent members.
The proposed amendments primarily update the administrative and operational procedures of the Authority. Key changes include a modification to the Board of Trustees' meeting schedule, transitioning from a monthly requirement to a minimum of a quarterly meeting schedule. Additionally, the amendments refine the annual budget process and update the timeline for the submission of activity reports to constituent members to ensure better alignment with municipal fiscal planning cycles.
Approval of these amended articles is necessary to maintain the City's standing as a constituent member and to ensure the Authority can operate with increased administrative efficiency.
The City of Ann Arbor City Council passed Resolution 21-046 on February 1, 2021 to approve the City of Ann Arbor membership in WRRMA; and Resolution 21-256 on July 6, 2021 to approve the first amendment to the Articles of Incorporation for WRRMA.
Budget/Fiscal Impact: The total cost of membership is $5,000.00 per year. The County has committed a $5,000.00 match for each paying member to support funding the Authority, subject to County budget approvals.
