Resolution to Approve Second Amended Articles of Incorporation of the Washtenaw Regional Resource Management Authority (WRRMA)

Memorandum

This memorandum and resolution request approval of the Second Amended Articles of Incorporation for the Washtenaw Regional Resource Management Authority (WRRMA). WRRMA is a multi-jurisdictional authority, incorporated under Act 179 of the Michigan Public Acts of 1947, dedicated to coordinating materials management, recycling, and waste reduction activities among its constituent members.

 

The proposed amendments primarily update the administrative and operational procedures of the Authority. Key changes include a modification to the Board of Trustees' meeting schedule, transitioning from a monthly requirement to a minimum of a quarterly meeting schedule. Additionally, the amendments refine the annual budget process and update the timeline for the submission of activity reports to constituent members to ensure better alignment with municipal fiscal planning cycles.

 

Approval of these amended articles is necessary to maintain the City’s standing as a constituent member and to ensure the Authority can operate with increased administrative efficiency.

 

The City of Ann Arbor City Council passed Resolution 21-046 on February 1, 2021 to approve the City of Ann Arbor membership in WRRMA; and Resolution 21-256 on July 6, 2021 to approve the first amendment to the Articles of Incorporation for WRRMA.

 

Budget/Fiscal Impact: The total cost of membership is $5,000.00 per year. The County has committed a $5,000.00 match for each paying member to support funding the Authority, subject to County budget approvals.

Whereas, The Washtenaw Regional Resource Management Authority (WRRMA) was formed under Act 179 of 1947 to provide efficient and effective materials management services for its constituent members;

 

Whereas, The City of Ann Arbor is a constituent member of WRRMA and is represented on its Board of Trustees;

 

Whereas, The WRRMA Board of Trustees has determined that the Articles of Incorporation require updating to improve administrative efficiency and operational flexibility;

 

Whereas, The Second Amended Articles of Incorporation include updates to Article XI to change the minimum meeting frequency from monthly to quarterly;

 

Whereas, The Second Amended Articles of Incorporation further refine the annual budget process in Article XIV and the activity report requirements in Article XV to better serve the constituent members;

 

Whereas, The WRRMA Board of Trustees considered and unanimously approved the Second Amended Articles of Incorporation;

 

Whereas, Pursuant to Article XXIII of the WRRMA Articles of Incorporation, amendments require a positive vote of the legislative body of each constituent member; and

 

Whereas, The proposed amendments do not alter the City’s fundamental rights or obligations as a member of the Authority and will impact the FY2027 budget cycle and beyond;

 

RESOLVED, That the City Council approve the Second Amended Articles of Incorporation of the Washtenaw Regional Resource Management Authority (WRRMA);

 

RESOLVED, That the Mayor and City Clerk be authorized and directed to execute the Second Amended Articles of Incorporation after approval as to substance by the City Administrator and approval as to form by the City Attorney; and

 

RESOLVED, That the City Administrator be authorized to take all necessary actions to implement this resolution.
