Resolution to Approve Amendment No. 4 to the Hosted Human Resources and Payroll System Agreement with Ultimate Software Group, Inc., ($25,000.00)
Memorandum
The attached Resolution authorizes the execution of the attached Amendment No. 4 to the 2006 Agreement between the Ultimate Software Group, Inc. (“UltiPro”) and the City for Hosted Human Resources and Payroll System (“Agreement”). The Amendment No. 4 amends a supplement to the original Agreement related to UltiPro providing certain services related to the Affordable Care Act 1095C distribution and filing services. The City previously used a different vendor to provide these 1095C services. The decision was made to transitions these services to UltiPro because UltiPro maintains key data related to the 1095C, thereby improving the efficiency and accuracy of the 1095C distributions and filings.
Budget/Fiscal Impact: The estimated annual cost for the calendar year of this Amendment No. 4 is $25,000.00.
The overall costs for the program will fluctuate monthly depending both on the number of employees and retirees enrolled in the program during any given month, and the amount of incurred claims actually paid during any given month.

Whereas, The City executed an agreement with Ultimate Software Group, Inc. (“UltiPro”) on or about November 20, 2006 for Hosted Human Resources and Payroll System (“Agreement”);
Whereas, The Agreement has been amended through various addenda, supplements, and amendments since that time, including a supplement that required UltiPro to provide certain distribution and filing services related to Affordable Care Act mandated 1095C Forms (“1095C Services”);
Whereas, The attached Amendment No. 4 to the Agreement reduces the subscription fee that the City owes UltiPro for such 1095C Services;
Whereas, UltiPro complies with the requirements of the City’s Non-Discrimination and Living Wage Ordinances; and
Whereas, Human Resources Services recommends the amendment of this contract;
RESOLVED, That City Council approve the attached Amendment No. 4 to the City’s Agreement with UltiPro, to authorize UltiPro to provide 1095C Services to the City at a flat rate, which is less than the City currently pays for active and retired employees;
RESOLVED, That the City Council approve a ten percent (10%) contingency to be expendable from the Risk Fund, subject to City Administrator approval; and
RESOLVED, That the Mayor and City Clerk be authorized and directed to execute said agreement after approval as to substance by the City Administrator and approval as to form by the City Attorney.
