Resolution to Approve Amendment No. 1 to the Communications and Dispatching Services Agreement with Emergent Health Partners

Memorandum

The City and Emergent Health Partners (“EHP”) entered the Communications and Dispatching Services Agreement on July 1, 2013, under which EHP provides Fire Dispatch services.  That agreement has been renewed twice and the most current renewal is set to expire on June 30, 2019.  Under the Agreement’s terms, it cannot be renewed again without an amendment.  The attached resolution seeks approval of Amendment No. 1 to the current agreement, to extend fire dispatch services with EHP at current levels and at current pricing until August 31, 2019 or until the time that the City and EHP execute a new Communications and Dispatching Services Agreement, whichever is earlier.  The resolution authorizes the City Administrator to execute any future Amendments to extend the current agreement if needed.  Once the parties conclude negotiations for the new Communications and Dispatching Services Agreement, Council approval of that agreement will be required.

 

EHP complies with the City’s non-discrimination and living wage ordinances.

 

Budget/Fiscal Impact: Funds for this Amendment have been budgeted and approved in the Fire Administration FY20 budget.

 

Fire Services recommends approval of this Amendment to maintain fire-dispatch service levels until a new Communications and Dispatching Services Agreement may be executed.

Whereas, The City entered a Communications and Dispatching Services Agreement with Emergent Health Partners (“EHP”) to provide fire dispatch, which was effective from July 1, 2013 through June 30, 2015;

 

Whereas, That Agreement provided that it could be renewed for two successive two-year periods and the Agreement was so renewed;

 

Whereas, The most recent renewal to the Agreement expires on June 30, 2019, and the Parties are currently negotiating the terms of a new agreement for Communications and Dispatching Services;

 

Whereas, The proposed Amendment extends the Agreement until August 31, 2019 or until the time that the Parties execute a new agreement, whichever is earlier;

 

Whereas, The proposed Amendment gives the Parties time to complete negotiations for a new agreement while also maintaining the current fire dispatch arrangement; and

 

Whereas, Fund are currently budgeted in the Fire Administration FY20 Budget to pay EHP pursuant to such Amendment;

 

RESOLVED, That City Council approve the attached Amendment No. 1 to the Communications and Dispatching Services Agreement with Emergent Health Partners (“EHP”);

 

RESOLVED, That the Mayor and City Clerk be authorized and directed to execute such amendment after approval as to substance by the City Administrator and approval as to form by the City Attorney; and

 

RESOLVED, That the City Administrator be authorized to take all necessary actions to implement this resolution, including execution of any additional contract extensions that are necessary to maintain current fire dispatch services during negotiations for the future fire dispatch agreement.
