Resolution to Approve ACC termination with HUD and Closeout of Public Housing: 2072 Garden Circle
Memorandum
The Ann Arbor Housing Commission (“PHA”), organized and existing under the laws of Michigan, in connection with the closeout of its public housing program and termination of its ACCs with the United States Department of Housing and Urban Development (“HUD”). The PHA has taken the appropriate steps to facilitate the closeout of its public housing program by removing its sole remaining public housing unit [2072 Garden Circle] by way of a Section 18 disposition by transferring title of the sole remaining public housing unit, address listed above, to a related entity.
Staff recommend that the Board approve the resolved clauses, which formally memorialize both the close-out of the public housing program and the termination of the Annual Contributions Contract.

NOW, THEREFORE, BE IT RESOLVED, that the closeout of the public housing program and termination of the ACCs is hereby ratified and affirmed; and
WHEREAS, the Board directs the Commission to remove the last public housing unit from its public housing inventory;
WHEREAS, the Board directs the Commission to finalize ACC termination with HUD and closeout of public housing;
WHEREAS, the Board certifies that the Commission has complied with all applicable closeout requirements of HUD notices PIH 2016-23 and PIH 2019-13, the ACC(s), the 1937 Act, and 2 CFR part 200, to the best of the Board’s knowledge and supported by local counsel’s opinion;
WHEREAS, the Board certifies that all public housing program funds have been accounted for and grants have been returned to HUD or otherwise closed out with HUD, and the Commission is prepared to terminate the public housing program;
WHEREAS, the Board certifies that there are no remaining properties under a public housing declaration of trust;
WHEREAS, the Board certifies that there are no other public housing program remaining requirements on the Property or any of the assets or funds of the Commission that the Commission needs to maintain;
WHEREAS, the Board certifies that: 1) the Commission retains no real or personal public housing property; 2) there is no litigation, nor any outstanding claims, audits, debt obligations, or civil rights matters; and 3) there are adequate assurances (documents) in place to ensure compliance with prior HUD approvals, if applicable (e.g., long-term use restrictions or use of disposition proceeds required by a HUD approval under Section 18 of the 1937 Act).
WHEREAS, that the above described actions are hereby approved by the Board of Directors of the Commission, and further that the Commission is hereby authorized to enter into the actions to closeout public housing and terminate the ACCs enter into any agreements with HUD to consummate those actions; and
WHEREAS, that HUD is authorized to rely on the continuing force and effect of these Resolutions until receipt of written notice from the Commission of any amendments or alterations to these Resolutions.
RESOLVED that the Board of the Ann Arbor Housing Commission approves to closeout public housing and terminate any ACCs agreements with HUD to consummate those actions.
