Attached for your review and approval is a resolution to authorize an Agreement with the AATA to construct the AATA Washtenaw Avenue East Bound Bus Turnout Project.
 
In July of 2009, the Arborland shopping center terminated its agreement with the AATA which provided for a bus stop and transfer location at the shopping center.  To maintain service for shopping center patrons, the AATA located bus stops at the intersection of Washtenaw Avenue and Pittsfield Boulevard as a short term solution.  In an effort to find a longer term solution, the AATA contacted the City and the Michigan Department of Transportation (MDOT) about developing a bus turnout along the south side of Washtenaw Avenue between Pittsfield Boulevard and Yost Boulevard.  Recognizing that a bus turnout would allow for buses to stop outside of the operating roadway and would improve traffic flow, reduce delays, and increase safety for both motorists and transit patrons, it was agreed that this long term solution was in the best interest of the Public, AATA and the road agencies.
 
To begin the project the AATA contracted with Orchard, Hiltz and McCliment, Inc. (OHM) to perform the project design and prepare detailed construction drawings, contract specifications and an opinion of probable construction costs.  During the design process the AATA recognized that the project location was within multiple jurisdictions along Washtenaw Avenue and the Washtenaw Avenue Service Drive with each being under separate control respectively by the MDOT and the City.  Acknowledging the working relationships between the City and the MDOT and the City and the AATA, and the City's experience with road construction projects, the AATA requested that the City, under the terms of an Agreement, oversee and manage the construction of this project.  This included the solicitation of bids, and the award of the construction contract through a separate resolution to City Council for approval subsequent to approval of the City-AATA agreement.
 
The total project costs are estimated to be $237,107.31.  The AATA will be responsible for these costs, which include construction, construction engineering and inspection, construction materials testing, and any other costs incurred by the City to perform the required work.
 
In order to provide the appropriate funds for the expenses to be incurred by the City on the project, the City and AATA agreed that the AATA would deposit funds with the City in a Deposit Drawdown Account.  As the City pays for services rendered and/or incurs costs, the City will withdraw funds from the Deposit Drawdown Account and report the use of these funds to the AATA monthly.  In the event the balance in the account falls below that amount necessary to cover forty-five (45) days of projected expenses, the City will request the AATA deposit additional funds as necessary.  Any funds remaining in the Deposit Drawdown Account at the close of the project will be returned to the AATA.
 
The Agreement submitted with this resolution has been reviewed and approved by the AATA.

Whereas, The AATA requested the services of the City of Ann Arbor to oversee and manage the construction of the AATA Washtenaw Avenue East Bound Bus Turnout Project, including the solicitation of bids, award of the construction contract, construction engineering and inspection, construction materials testing, and all other work required to complete the project;
 
Whereas, The AATA has completed the project design, and City of Ann Arbor has solicited bids for construction of the project;
 
Whereas, The construction contract award will be presented to City Council for approval under a separate resolution subsequent to approval of the City-AATA agreement;
 
Whereas, The total project costs are estimated to be $237,107.31 with the AATA being responsible for these costs, and any/all other costs incurred by the City to perform the required work; and
 
Whereas, The City of Ann Arbor will administer the construction contract for the project and pay for all project related work from a Deposit Drawdown Account to be established for the project;
 
RESOLVED, That the City enter into an agreement with the AATA for the construction of the AATA Washtenaw Avenue East Bound Bus Turnout Project;
 
RESOLVED, That the Mayor and City Clerk be authorized and directed to execute said agreement, after approval as to form by the City Attorney and approval as to substance by the City Administrator; and
 
RESOLVED, That the City Administrator be authorized to take the necessary administrative actions to implement this resolution.
