Resolution to Approve Second Amendment to Legal Services Contract with Butzel Long and to Approve Reimbursement of Legal Fees in Connection with William Street Station Development (8 Votes Required)
Memorandum
The City previously retained the legal services of James C. Adams of Butzel Long in connection with the William Street Station development. This resolution serves to authorize a second contract amendment with the Butzel Long law firm for Mr. Adams’ service in an amount not to exceed $125,000. It is important to note that the developer, HDC, LLC, is reimbursing the City for Mr. Adams’ services in connection with this project.

It is recommended that Council approve the resolution.

Whereas, Section 5.2(c) of the Ann Arbor City Charter authorizes City Council, on the recommendation of the City Attorney, to retain special legal counsel to assist the City Attorney;

Whereas, Representation by the firm of Butzel Long relating to matters involving the William Street Station project is in the best interests of the City at this time based on James C. Adams’ expertise in development matters;

Whereas, The cost of services rendered by Butzel Long will be reimbursed to the City of Ann Arbor by the developer, HDC, LLC, as they are costs incurred prior to November 6, 2007, when the project was terminated;

Whereas, Butzel Long received Human Rights and Living Wage approval on March 14, 2007; and

RESOLVED, That the City Council approve an appropriation to the revenue budget for $50,000 for legal services to be paid for by the developer;

RESOLVED, That the City Council approve an increase in the revenue and expenditures budget in the General Fund Attorney Services budget in the amount of $50,000 with source of funds from the developer;
