Resolution to Appoint Mary Jo Callan to the Ann Arbor Housing Development Corporation Board

 

Memorandum

The Ann Arbor Housing Commission created the Ann Arbor Housing Development Corporation Board to support the mission of the Ann Arbor Housing Commission. The AAHC is the sole member of the AAHDC and the AAHC selects the members of the board for the AAHDC. The AAHDC’s board can have up to 7 members, and it currently has an open seat.

 

Article II, Section 1. Number. The business and affairs of the Corporation shall be managed by or under the direction of a Board of Directors, which shall not exceed 7 members. The board shall be comprised of a minimum of the Board Members of the Member plus the Executive Director of the Member.

 

Article III, Section 1. Member. The Ann Arbor Housing Commission shall be the sole member of the Corporation (the "Member").

 

Article III, Section 2. Appointment, Resignation, and Removal. The board shall be appointed by the Member. The Board shall remain in office commensurate with the terms of Board Members of the Member. A director may resign at any time by written notice to the Member. The resignation is effective on its receipt by the Member or at a subsequent time as set forth in the notice of resignation. Unless otherwise provided in the Articles of Incorporation or by applicable law, any director may be removed, with or without cause, by the Member at any time. Members of the Board shall be eligible for re-election.

 

The AAHC board has expressed a desire to ensure that there is not a conflict of interest between the AAHC and the AAHDC boards. The AAHC’s attorney suggested that the AAHC board appoint a board member that is unaffiliated with the AAHC to fill the open seat on the AAHDC board.

 

Mary Jo Callan, who was previously the Director of the Washtenaw County Office of Community and Economic Development and who is currently the Director of the U-M Ginsberg Center has expressed an interest in sitting on the AAHDC board. She has a background in Community and Economic Development and would be a great resource and asset for the AAHDC board.

WHEREAS, the Ann Arbor Housing Commission (AAHC) is the sole member of the 501C3 non-profit called the Ann Arbor Housing Development Corporation (AAHDC) and has the authority to appoint board members to the AAHDC; and

 

WHEREAS, the AAHDC board may have up to 7 members and currently has an open board seat; and

 

RESOLVED, that the Ann Arbor Housing Commission Board appoints Mary Jo Callan to the open Ann Arbor Housing Development Corporation Board seat.
