Memorandum
Attached for your consideration is a resolution to approve Amendment No. 2 to the August 17, 2009 Professional Services Agreement between the City and SmithGroup JJR.  City Council approved Resolution R-09-343 authorizing the original agreement in the amount of $541,717.00, and later approved Resolution R-09-433 on November 5, 2011 for Amendment No. 1 in the amount of $111,228.00.  The original agreement included tasks associated with 1) site assessment, inventory and survey; 2) project definition and concept planning; and 3) determination of environmental documentation and investigations pursuant to the requirements of the National Environmental Policy Act (NEPA).  The work performed included the preparation of a comprehensive Transportation Study that considered off-site and site access transportation system impacts, and provided recommended improvements.  It also included preparation of a Geotechnical Study to determine and evaluate subsurface soil conditions, completion of a detailed topographic survey, and development of the program definition and a master concept plan that described and depicted the elements included in the project.  Lastly, the environmental determination resulted in a preparation of a draft Environmental Assessment report.  Amendment No. 1 allowed for the design of improvements to certain City owned infrastructure.
 
Amendment No. 2 in the amount of $196,192.00 is for continued planning efforts that will build upon the previous work completed by SmithGroup JJR, and includes re-examination of the current program definition to affirm it is consistent with the stakeholder goals for the Ann Arbor Rail Passenger Station Project, and revisions as required to the conceptual plan.  Furthermore, this amendment will provide for the completion of the NEPA documentation required of the project.  Once these efforts are finalized the project can move forward into the preliminary engineering (PE) phase, which will result in a 30 percent complete or schematic level design.  The PE work will be procured and conducted under a separate/new contract for professional services.
 
The not to exceed cost for the work associated with this amendment is estimated to be $196,192.00, and will be funded by a federal High-Speed Intercity Passenger Rail Program Grant awarded to the State of Michigan and being made available through a contract between the City and the Michigan Department of Transportation.  A resolution to approve this contract is also on the agenda for Council's consideration.
 
SmithGroup JJR received Human Rights and Living Wage approval on May 31, 2012.

Whereas, The scope and duration of the original project has increased as a result of requests from the Federal Rail Administration and the Michigan Department of Transportation;
 
Whereas, The City has accepted a High-Speed Intercity Passenger Rail Program Grant being made available through a contract between the City and the Michigan Department of Transportation; and
 
Whereas, SmithGroup JJR received Human Rights and Living Wage approval on May 31, 2012;
 
RESOLVED, That the Professional Services Agreement with SmithGroup JJR for the Ann Arbor Rail Passenger Station Project, be amended in the amount of $196,192.00 to re-examine and affirm the project program definition and conceptual plan, and complete the National Environmental Policy Act documentation and acquire the necessary approvals;
 
RESOLVED, That the Mayor and City Clerk be authorized and directed to execute the amendment to the Professional Services Agreement with SmithGroup JJR after approval as to form by the City Attorney, and approval as to substance by the City Administrator; and
 
RESOLVED, That the City Administrator be authorized to take the necessary administrative actions to implement this resolution.
