Resolution to Approve Contract Amendment Number One with WeCare Organics to Extend Equipment Lease 90 Days
Memorandum
WeCare Organics, the city's compost facility operator, is currently leasing city-owned equipment under the existing compost operations contract. That lease is set to expire June 30, 2011. WeCare Organics has requested a 90-day extension on that lease in order to better coordinate with leases at their other facilities. At the end of the 90 days, WeCare may choose to purchase the equipment at the rates that were outlined in the existing city contract.
In addition to including an extension to September 30, 2011, this proposed amendment allows the City Administrator to extend further the equipment lease end date and deadline to purchase if needed.

Whereas, On December 6, 2010 City Council approved Resolution R-10-428 approving a five-year contract with WeCare Organics for operating the city's compost facility; and
Whereas, That contract includes a provision for WeCare to lease the city-owned compost equipment through June 30, 2011; and
Whereas, WeCare Organics has requested an extension of the lease term and the deadline to purchase the equipment from the City to September 30, 2011 to better coordinate with the leases at their other facilities; and
Whereas, The City Administrator is authorized to approve future requests for extensions of the lease term and of the deadline to purchase;
RESOLVED, That City Council approve contract amendment number one with WeCare Organics;
RESOLVED, That the City Administrator be authorized to grant additional lease extensions as needed;
RESOLVED, That the Mayor and City Clerk be authorized and directed to execute this contract amendment after approval as to form by the City Attorney and approval as to substance by the City Administrator; and
RESOLVED, That the City Administrator be authorized to take the necessary administrative actions to implement this resolution.
